Terms of Service

Effective Date: January 1, 2025

These Terms of Service govern access to and use of the SafePay platform located at www.trysnd.com. By accessing or using the Service, you agree to be bound by these Terms.

1. Parties

SafePay is operated by Business Entity LLC, a Delaware limited liability company.

2. Eligibility

You must be at least eighteen years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. The Service

SafePay provides software tools that allow creators to generate payment enabled links.

SafePay does not host, store, distribute, or control creator content. Content delivery occurs outside the Service and is solely the responsibility of creators.

4. Payments and Fees

SafePay facilitates payments as a payment agent for creators.

A fixed platform fee equal to twenty percent of each transaction is charged. Remaining funds belong to the creator.

Funds may be temporarily held for settlement and payout purposes. Creators retain beneficial ownership at all times.

Payouts are manual at launch and may transition to a biweekly schedule at SafePay’s discretion.

5. Refunds

Refunds are supported solely at SafePay’s discretion.

SafePay may retain, return, or withhold any portion of its platform fee in connection with a refund. No user has any right to a refund absent SafePay’s express approval.

6. Content Responsibility

Creators are solely responsible for all content they sell or distribute.

Content must comply with all applicable laws. Adult content is permitted only if lawful and restricted to users eighteen or older.

SafePay does not monitor or moderate content and disclaims all responsibility for content legality, accuracy, or compliance.

7. User Conduct

You agree not to misuse the Service.

Prohibited conduct includes interfering with or disrupting the Service, engaging in fraud or deceptive practices, reverse engineering or attempting to access source code, accessing the Service through unauthorized automated means, violating any applicable law, or infringing any third party right.

SafePay may investigate and take any action it deems appropriate for violations of this section.

8. Account Security

You are responsible for maintaining the confidentiality of any credentials associated with your use of the Service.

You are responsible for all activity that occurs through your account, whether authorized or not.

You agree to notify SafePay immediately of any unauthorized access or suspected security breach.

9. License

Creators grant SafePay a limited, non exclusive, revocable license to access, transmit, and process content solely to operate the Service.

No ownership rights are transferred.

10. Third Party Services

The Service relies on third party payment processors and service providers.

Your use of those services may be subject to additional terms imposed by those providers.

SafePay is not responsible for the acts, omissions, delays, failures, or compliance decisions of any third party service provider.

11. Termination

SafePay may suspend or terminate access at any time, with or without notice, for any reason, including suspected legal violations.

No refunds or compensation are owed upon termination.

12. Disclaimer

The Service is provided as is and as available.

SafePay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.

13. Limitation of Liability

To the maximum extent permitted by law, SafePay shall not be liable for any indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the fees paid to SafePay in the six months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless SafePay from all claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your content, or your violation of these Terms.

15. Force Majeure

SafePay shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including acts of God, government actions, labor disputes, internet or infrastructure failures, or failures of third party service providers.

16. Arbitration and Class Waiver

All disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration.

You waive any right to participate in a class action, collective action, or representative proceeding.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

18. Assignment

You may not assign or transfer these Terms without SafePay’s prior written consent.

SafePay may assign these Terms freely in connection with a merger, sale of assets, or change of control.

19. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

Failure by SafePay to enforce any provision shall not constitute a waiver of future enforcement.

20. Survival

Sections relating to fees, disclaimers, limitation of liability, indemnification, arbitration, governing law, and any provisions that by their nature should survive termination shall survive termination of these Terms.

21. Changes

SafePay may modify these Terms at any time. Continued use of the Service constitutes acceptance of the modified Terms.
