Terms of Service

These Terms of Service govern access to and use of the SafePay platform located at www.safepay.me. By accessing or using the Service, you agree to be bound by these Terms.

1. Operator

2. Eligibility

You must be at least eighteen years old to use the Service. By accessing or using the Service, you represent and warrant that you meet this requirement.

3. The Service

SafePay provides invoicing software and payment link tools that enable users to generate payment requests to their customers.

The Service facilitates the creation and management of payment links and related transaction data. SafePay does not provide the underlying goods or services offered by users. Users are solely responsible for the products or services they offer.

4. Payments and Fees

Payments initiated through the Service are processed by independent third party payment processors connected to the platform. Those processors are responsible for authorization, processing, settlement, disbursement, refunds, reversals, and dispute management in accordance with their own terms and policies.

SafePay provides software that enables users to generate and manage payment requests. Transaction funds are processed and settled through the applicable payment processor.

SafePay charges a variable platform fee for access to and use of the Service. Applicable fees are disclosed within the platform or pursuant to a separate pricing schedule and may be based on transaction activity, volume, or other usage metrics.

SafePay may modify its fees upon reasonable notice, including by updating pricing within the platform. Continued use of the Service after such update constitutes acceptance of the revised fees.

Platform fees are collected through integrations with the applicable payment processor in connection with transactions processed through the Service.

5. Refunds and Disputes

Refunds, chargebacks, reversals, and disputes are handled exclusively by the applicable payment processor in accordance with that processor’s policies. Users are solely responsible for managing refunds and responding to disputes relating to their transactions.

Processor determinations regarding refunds, reversals, chargebacks, reserves, or account actions are binding and may impact transaction proceeds and associated platform fees.

SafePay is not responsible for processor holds, delays, reversals, reserve requirements, or account suspensions imposed by a payment processor.

SafePay may, in its discretion, adjust or waive its platform fee in connection with a refund but has no obligation to do so.

6. User Responsibilities and Compliance

Users are solely responsible for the products or services they offer, all representations made to customers, and compliance with applicable laws, regulations, and payment processor requirements.

You represent and warrant that your use of the Service complies with all applicable laws and with the terms and policies of any payment processor you use in connection with the Service.

You agree not to use the Service for unlawful, fraudulent, deceptive, or prohibited activities, including activities restricted by the applicable payment processor.

SafePay reserves the right to request information, documentation, or certifications reasonably necessary to assess compliance, risk, or legal obligations.

SafePay may suspend or restrict access to the Service if it reasonably believes that your activities present legal, regulatory, reputational, or processor related risk.

7. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree to notify SafePay promptly of any unauthorized access or suspected security incident.

8. Acceptable Use

You agree not to interfere with or disrupt the Service, attempt unauthorized access, reverse engineer the platform, use automated means to access the Service without authorization, or violate any applicable law or third party rights.

9. Third Party Services

The Service relies on third party payment processors and service providers. Your use of those services may be subject to additional terms imposed by those providers. SafePay is not responsible for the acts, omissions, delays, failures, or decisions of any third party service provider.

10. Termination

SafePay may suspend or terminate access to the Service at any time, with or without notice, for violation of these Terms or for legitimate business reasons. Termination does not relieve you of obligations owed to payment processors or customers.

11. Disclaimer

The Service is provided on an as is and as available basis. To the maximum extent permitted by law, SafePay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.

12. Limitation of Liability

To the maximum extent permitted by law, SafePay shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

SafePay’s total liability arising out of or relating to the Service shall not exceed the fees paid by you to SafePay in the six months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless SafePay, its officers, managers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your transactions, your products or services, or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by a recognized arbitration provider in the State of California.

Arbitration shall be conducted on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property, confidentiality, or unauthorized access to the Service.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

17. Assignment

You may not assign these Terms without prior written consent. SafePay may assign these Terms in connection with a merger, sale of assets, or change of control.

18. Changes

SafePay may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
